The Bulgarian Chamber of Commerce and Industry oversees the operation of the Bulgarian Trade Register (BCCI). Signing up for the Trade Register

All application forms used to register a company in Bulgaria must be submitted electronically using an electronic signature and must be written in Bulgarian. The registration card and the primary registration application form are required papers. Companies that want to register must pay a charge as well to complete the registration process. Legal entities are required to notify the Trade Register of any changes to their status by submitting an application form for modifications to the registration data along with the registration card. The merchant’s legal condition may be made public through the trade register. This reality is ensured by the merchant’s duty to declare the circumstances listed in the Commercial Code in the publicly governed commercial registry. In this way, both the merchant’s legal interests and those of third parties are safeguarded.

Declaration effects

The publication in the commercial register creates the inference that third parties are aware of the stated conditions. According to Article 7 of the Commercial Code, it is presumed that third parties became aware of the circumstances upon their publication. This section further specifies that the registration in the commercial register becomes effective against other parties who could not have received notice 15 days after the registration.

Constitutive impact

Business law states that only when a statute specifically authorizes a registration into the commercial register does it become legally binding. This implies that the situation subject to publishing is not effective until it is registered.

Positive publicity

Even if it is wrong or nonexistent, the entry into the commercial register has evidential significance and is deemed to be factual. Everyone may rely on and make references to the registration.

Negative publicity

Situations are regarded as nonexistent if they are not entered into or publicized in the commercial registry.
